About the Role

We are looking for our General Counsel: the first and most senior lawyer in the company, reporting to the CEO and serving as the primary legal voice to our Board and investors.

This is a builder's role with real leverage. You will own legal across four jurisdictions (US, Canada, Singapore, China), with a small in-house team, a network of top-tier outside firms, and a mandate to decide rather than to escalate. In practice that means you will spend as much time helping the business find a structure that works as you will spend reviewing documents.

Based in the San Francisco Bay Area.

What You Will Own

• Financing and corporate. Lead the legal workstream on financings and strategic transactions end to end, from term sheet through definitive documents and closing. Own regulatory clearance, including CFIUS. Own governance, entity maintenance and the cap table.

• Privacy and data. Own the privacy program, our certifications (GDPR, EU-US DPF, SOC 2 support), and legal response to security incidents. Be the partner Product comes to early on AI training data, user content rights and consent.

• Commercial. Own enterprise contracting with major media, entertainment, financial services and technology counterparties, along with the templates and playbooks that let the sales team move without waiting on you.

• Brand and IP. Own the trademark portfolio and enforcement against infringers, typosquatters and phishing operations.

• Employment. Be the legal partner to HR across all four jurisdictions: offer letters, IP and confidentiality agreements, handbooks, immigration, employment structure as we grow into new markets, terminations, settlements and employee relations matters. This includes owning the ESOP and executive compensation, from grants and vesting through equity for employees outside the US.

• The function itself. Build the team, the tooling, the process and the budget. Get leverage from outside counsel and automation rather than headcount.

What We Are Looking For

• JD from an accredited law school and active membership in good standing of a US state bar, preferably California.

• 10+ years of experience, combining a top-tier law firm with in-house leadership at a venture-backed, high-growth technology company. You have been the most senior lawyer in the room.

• First-chair experience running financing and strategic transactions, including managing outside counsel, the data room and the diligence process.

• Depth in at least three of: corporate and governance, equity compensation, privacy and data protection, enterprise contracting, IP and brand enforcement, employment.

• Cross-border judgment. You understand that the answer is often about which entity signs, not which clause wins.

• Fluency in both English and Mandarin Chinese, spoken and written.

• Based in the Bay Area, and comfortable with occasional late calls with our partners in Asia.

Bonus points

• Experience in AI, media or SaaS.

• Experience with CFIUS or other foreign investment review.

• Experience with Asia cross-border matters.

• Experience standing up a legal function from close to zero.
